PEXPACKS (PTY) LTD, registration 2026 / 054056 / 07 (Pexpacks, we or the Company), operates the platform. You must be at least 18 and legally able to contract to place an order or accept a paid SmartStokvel mandate. An authorised parent, guardian or sponsor contracts for a learner; learners are beneficiaries, not debtors. A school or organisation is bound only through its authorised representative and an actual agreement.

The platform-use rules govern authorised access and use. A paid order requires an affirmative acceptance of the applicable price, service, schedule and terms after an opportunity to review and correct details. Browsing, an enquiry or free priority-list registration does not create a paid order, recurring payment authority or an irrevocable procurement instruction. An account login alone does not authorise a payment.

Mandatory law prevails. For SmartStokvel, the full constitution governs over inconsistent summaries in these Terms. A specific accepted order supplies the agreed goods, lawful fees and dates; it cannot silently override constitutional protections or statutory rights. The Privacy Policy explains data processing and is not blanket permission for optional marketing.

The following 5 Golden Clauses govern all participation in the Pexpacks SmartStokvel™ collective procurement mechanism, administered by PEXPACKS (PTY) LTD (registration 2026 / 054056 / 07), subject to applicable South African law and the complete constitution:

These five clauses are a summary. For SmartStokvel participation, mandatory law and the complete ten-article constitution take priority over inconsistent wording in these Terms, summaries or other policies. Please consult the Pexpacks SmartStokvel™ Official Constitution & Collective Procurement Mandate.

X.1. Limited administrative and procurement mandate

Subject to the constitution, EXCO’s properly authorised separate corporate SLA and the member’s accepted order, Pexpacks acts as the external digital administrator and collective procurement agent. The mandate covers the identified learner pack, agreed payment schedule and funded procurement instructions. It does not grant unrestricted power of attorney, borrowing powers, an investment mandate or authority to use one member’s balance for another. Pexpacks remains responsible for the services it undertakes and for applicable supplier obligations; the word “agent” does not exclude consumer remedies.

X.2. Pass-through stationery costs and separate revenue

The stationery acquisition component is intended to operate on a zero-margin, pass-through basis at evidenced supplier cost. Supplier discounts, rebates and rounding must be reconciled for members’ benefit under the constitution. No undisclosed stationery markup, interest, diversion to general operating expenses or cross-subsidy is authorised. This pricing obligation does not classify Pexpacks as a non-profit company, registered NPO, tax-exempt organisation or charity.

The separate administration fee is R29.00 per active learner profile per agreed service month, inclusive of VAT where lawfully chargeable. VAT may not be added again on top of that displayed fee. It covers all digital administration and SmartStokvel management and is Pexpacks’ administration revenue when lawfully earned. Joining the free list incurs no fee. The order must disclose the charged months and total administration cost; no automatic renewal or extra service month is inferred.

Freight / Delivery Cost per Pack (R), Packaging Cost per Pack (R) and Assembly Cost per Pack (R) are separate variable fulfilment components already included in the accepted pack total. They are excluded from the monthly digital administration fee and must be distinguishable from the stationery acquisition component. An applicable physical storage or handling cost must likewise be disclosed within the agreed fulfilment breakdown before acceptance. No cost may be charged twice or used to disguise a stationery markup. The constitution’s clause 4.2 explains the monthly fee.

X.3. Safeguarding, permitted use and accurate records

Pexpacks must maintain member-level ledgers and separate records for stationery capital, authorised fulfilment allocations, earned administration fees, supplier commitments, credits and refunds. Money held for members must be applied only to the corresponding authorised obligations and safeguarded as applicable law requires. Uncommitted member allocations may not fund unrelated payroll, marketing, company debts, loans, investments or security for borrowing. Only lawfully earned fees and properly authorised service payments may be released for those purposes, supported by reconciliation and the constitution’s approval controls.

The digital passbook records processed transactions and balances; it is not proof that an identical cash balance is held in escrow. Pending gateway settlements, authorised procurement and corrections must be identifiable. Members may report discrepancies and obtain a reconciled statement. Corrections require an audit trail and notice; Pexpacks may not erase a legitimate balance to resolve a platform or corporate fee dispute.

X.4. Settlement, trimming and procurement authority

All outstanding cycle contributions are due by 31 October of the active cycle year. During 1–14 October, eligible reusable items may be removed up to 25% of the agreed pack value under Article 5 of the constitution. Pexpacks must provide the revised itemised order and credit. A credit may be applied to an expressly priced eligible service or carried forward under the member’s accepted instruction; it is not forfeited, and any cash refund required by law remains payable. The trim window does not extend the settlement deadline.

Around 15 October, Pexpacks may make an approved supplier deposit to secure seasonal prices. On 1 November, after member settlement, Pexpacks may pay the remaining supplier balance from funded, authorised allocations, including essential packs converted under Article 6. The accepted mandate covers the specified goods and disclosed alternatives, not unlimited substitutions or spending. Procurement instructions are subject to lawful cancellation rights and actual supplier commitments; they are not made universally irrevocable by these Terms. Supplier certification, tier or institutional status must not be claimed without evidence.

X.5. Regulatory character and member protections

The intended arrangement is pre-funded collective procurement for school stationery, without promised interest, investment returns or rotating cash payouts. No banking licence, Banks Act exemption, NCA exclusion, NASASA affiliation or regulatory clearance is established by this description, company registration, EXCO appointment, a checkbox or an SLA. Actual activities and the law determine the applicable requirements, including consumer lay-by protections where relevant. Pexpacks must obtain any authorisation required for its actual model and must not accept funds through an unlawful structure.

The shortfall and essential-pack protections in the five clauses above and constitution remain in force. Neither account suspension nor a missed contribution permits forfeiture, a disqualification fee or removal of mandatory refund rights.

Stationery packs are compiled using official booklists supplied by schools or uploaded by parents. Pricing is displayed in South African Rand (ZAR) inclusive of applicable Value-Added Tax (VAT).

You must be able to review the goods, total price, fees, delivery details and terms, correct input errors and withdraw before final acceptance. An order forms when Pexpacks communicates acceptance of the identified order after your affirmative submission. An automated receipt of an enquiry or a pending payment notification alone does not confirm stock or accept different terms. Money received for an unaccepted or unavailable order must be reconciled and refunded where due, without an unapproved substitution.

If a material pricing or stock error is identified, Pexpacks must explain it promptly and offer a lawful correction, an agreed alternative or cancellation and refund where appropriate. A displayed or accepted price may not be ignored simply because it is commercially inconvenient. Pricing errors are handled subject to applicable law; these Terms create no unrestricted cancellation right or authority to collect an increased amount without agreement.

Payment must be completed in full prior to order dispatch or custom Pexcover work for once-off orders. SmartStokvel™ contributions are processed using the methods offered for the accepted schedule. Enrolment and 3-, 6- or 9-month SmartStokvel contributions are open now for delivery for the 2028 academic year. A first-cycle plan activates after its first contribution is confirmed. A first-cycle 3-, 6- or 9-payment option may be accepted only with a schedule settled by 31 October.

Approved payment options include Electronic Funds Transfer (EFT), instant EFT, debit cards, and credit cards processed via authorized South African payment gateways.

Use only the payment instructions confirmed through official Pexpacks channels. Never send a PIN, password, card security code or one-time password through support or a chatbot. Gateway and card-security claims must be supported by the relevant provider’s actual arrangements; these Terms do not certify PCI-DSS compliance. Recurring debits require a distinct, express mandate. Pexpacks may verify or pause a suspicious payment while investigating, but must preserve the account record and resolve mistaken or duplicated charges. Members may use lawful payment disputes; double recovery of the same refund is not permitted.

Return rights are regulated under our Returns & Refunds Policy, subject to applicable requirements and exclusions, including:

• CPA Section 56 Implied Warranty of Quality: 6-month statutory right to repair, replace, or refund defective or damaged stationery goods.
• ECTA Section 44 Cooling-Off Period: 7-day right to cancel eligible online purchases, subject to statutory exceptions, timing rules and permitted direct return costs.
• SmartStokvel™ Clause 3: The goods-allocation and essential-pack policy is subject to applicable cancellation, cooling-off and refund rights both before and after procurement.

Provide accurate registration, contact, learner and order details and update material changes promptly. Use only accounts you own or are expressly authorised to operate. An invitation, public URL, guessed identifier or software error does not authorise access to another family’s records, school administration or staff functions. Delegated access must remain within the granted role and end when that authority ends.

Keep credentials and verification codes private, secure your device and sign out on shared devices. Do not sell, transfer or share privileged access. Tell support promptly if you suspect compromise, unauthorised activity or incorrect permissions. Pexpacks must take proportionate steps to verify identity and contain an incident. Account activity is evidence to investigate, not conclusive proof that you authorised it; you are not automatically liable for every action taken through compromised credentials.

You are responsible for deliberate misuse and for losses lawfully attributable to your breach, subject to evidence and applicable law. Pexpacks retains responsibility for its own security duties, acts and omissions. No credential rule transfers all platform risk to members or permits deletion of their legitimate balances.

You may use the platform’s intended public and authorised account functions for lawful enquiries, orders and programme participation. Unless separately authorised in writing or permitted by mandatory law, you must not:

• bypass authentication, role permissions, payment checks, rate limits or other security controls; probe or exploit a vulnerability; intercept traffic; or access, change or export another user’s data;
• introduce malware, run denial-of-service attacks, overload APIs, conduct credential stuffing or bulk account creation, or interfere with the availability or integrity of any connected service;
• tamper with prices, contribution records, payment callbacks, uploaded lists, consent evidence, procurement instructions or fulfilment status; impersonate a parent, school, supplier or Pexpacks representative; or submit fraudulent payment evidence;
• harvest contact or learner information, send unsolicited messages, scrape restricted data, or use bots to reproduce catalogues, price compilations or platform content for commercial exploitation;
• upload unlawful, infringing or malicious material; threaten or harass staff or users; or use platform content to misrepresent affiliation with Pexpacks or any school.

Approved integrations must use documented permissions and limits. Access to a public page is not unrestricted API access. Ordinary search-engine indexing of public pages is permitted subject to published crawl controls and reasonable load; it does not authorise personal-data harvesting or access to private endpoints. These restrictions do not prevent lawful consumer comparisons, permitted quotations, accessibility tools or other non-excludable uses.

Report a suspected security issue privately to care@pexpacks.co.za. Stop testing once an issue is apparent; do not extract personal data, disrupt service or publish credentials. A report is not prior authorisation for intrusive testing or a promise of payment. Pexpacks may investigate, preserve lawful evidence and seek proportionate civil or criminal remedies where justified. Good-faith complaints and lawful reporting to regulators are not prohibited.

Pexpacks or its licensors own the platform code, original designs, original text, graphics, brand assets and protectable database compilations, subject to third-party rights. Pexpacks does not claim ownership of your personal information, school-issued lists, supplier marks or material merely because it is uploaded. Ownership and permitted use of those materials remain subject to the relevant rights and applicable law.

You receive a limited, non-exclusive permission to access the intended platform functions and save your own quotations, invoices, statements, terms and order records. No source-code, resale, sublicensing, brand endorsement or competing commercial-reuse licence is granted. Unauthorised copying, distribution, commercial extraction, reverse engineering or reuse is prohibited to the extent lawfully restrictable. Third-party software licences and statutory exceptions remain applicable.

Supply only material you are entitled to provide and the learner information reasonably necessary for the service. You grant Pexpacks a limited permission to store, reproduce, convert and transmit an uploaded list or instruction to authorised service providers only as needed to prepare, administer and fulfil your request, handle disputes and meet lawful retention duties. This is not an ownership transfer or an unrestricted marketing or AI-training licence. Personal information remains subject to the Privacy Policy and applicable law, including the controls required when third parties process it.

Uploaded files may be checked for security, unsupported formats or processing errors and rejected with an explanation where appropriate. Automated list extraction, recommendations, estimates and chatbot answers may contain mistakes. Review the original school list and confirmed order; automated assistance alone does not amend a contract, authorise payment or determine a statutory refund right. Request human assistance for discrepancies or important decisions. This review step does not excuse incorrect goods or Pexpacks’ own service failures.

Pexpacks may rate-limit requests, reject unsafe files, restrict an affected function or temporarily suspend access on reasonable grounds of fraud, unauthorised access, material breach, security risk or a legal requirement. Restrictions must be proportionate. Notice, reasons and a route to review must be provided unless an urgent threat or lawful restriction justifies delay. Where reasonably remediable, the user should have an opportunity to correct the issue. Permanent termination requires a lawful basis and appropriate review, not merely a complaint or refund request.

A security suspension is separate from the constitution’s protection against disqualification for contribution shortfalls. It does not forfeit paid contributions, cancel a valid order without lawful reconciliation or remove statutory rights. Pexpacks must provide a verified alternative support route for statements, corrections, fulfilment and refunds while access is restricted. Logs and investigation records may be retained and disclosed only for lawful purposes under applicable privacy and retention rules.

Maintenance, network interruptions and supplier outages may affect availability. Pexpacks does not promise uninterrupted access or instant notification delivery, but must use reasonable safeguards, communicate material service disruption and work to restore the service. An outage does not itself prove missed payment, erase a balance or impose a penalty. Pexpacks must offer a reasonable way to raise a time-sensitive payment or trim instruction if its own platform prevents timely submission and preserve a record of the resolution. Changes to tools or service providers must not silently remove paid services or accrued rights.

A loss claim must be assessed on evidence, causation, reasonable foreseeability, mitigation and applicable law. No exclusion applies to return of money lawfully owed, mandatory quality or delivery remedies, unlawful processing for which Pexpacks is responsible, fraud, wilful misconduct, gross negligence or another non-excludable liability. A third-party outage or cyberattack does not automatically excuse Pexpacks’ own failure to use reasonable safeguards. No unilateral term makes our records conclusive or prevents a member from challenging an error.

These Terms are governed by and construed in accordance with the laws of the Republic of South Africa.

In the event of any dispute arising from an order or SmartStokvel™ transaction, the parties shall first attempt to resolve the matter in good faith through direct consultation. Customers retain the right to approach the Consumer Goods and Services Ombudsman (CGSO) or the Information Regulator where applicable, as well as any competent consumer authority, tribunal or court. Direct consultation is not a compulsory barrier to urgent relief or a statutory complaint. No compulsory private arbitration, foreign jurisdiction or shortened statutory claim period is imposed by these Terms.

This publication is version 2026-11-05.1, dated 5 November 2026. Material changes must be identified and notified through an appropriate channel before taking effect, with fresh agreement where required. New terms apply prospectively; continued browsing, silence or an already-paid contribution is not retrospective acceptance of new charges, reduced rights or a different procurement mandate. Existing accepted orders remain governed by their applicable terms unless lawfully varied. Constitution changes must follow its amendment and member-approval rules.

Notices should use the contact details recorded for the account. Pexpacks must use reasonable steps to address failed delivery of important notices; a sent message is not automatically proof of receipt. Parties may retain and request a durable copy of the applicable terms, order, instructions and acceptance evidence. Electronic records are assessed under applicable law and remain open to correction or challenge. Support staff and automated tools cannot waive formal approval requirements or alter a mandate without properly authorised agreement.

If a term is unlawful or unenforceable, it is limited or severed only to the extent lawfully possible, leaving the remainder in effect where fair and workable. This does not permit replacement with a harsher term. A delay in enforcing a right does not by itself waive it. Provisions on accrued payments, records, confidentiality, intellectual property and dispute resolution survive termination only to the extent necessary and lawful. No assignment or business transfer may silently diminish member rights or override the constitution’s administrator-replacement controls.
